Terms of Service

Operator: HigherEdPods Inc., a corporation incorporated in Alberta, Canada, operating intelligence.fm ("we", "us").

This is the beta-period version of our terms. intelligence.fm is in private beta: it is free, it changes often, and some things described here as "may" are plans rather than features.

1. The agreement

These Terms of Service (the "Terms") are a contract between you and HigherEdPods Inc. You accept them by clicking Approve on our sign-in page when you connect intelligence.fm to Claude, or by using the Service in any other way. If you are accepting on behalf of a company or a show you do not own personally, you confirm you have authority to bind it, and "you" means that organisation too.

Our Privacy Policy (https://mcp.intelligence.fm/privacy) is part of these Terms.

4. What the Service is, and is not

intelligence.fm has no dashboard. Its interface is a conversation: you ask your Claude, your Claude calls the Connector, and the answer comes back with the definitions and caveats that make it honest. To do that, the Service depends on things we do not control: Anthropic's Claude, Google Chrome and the Claude in Chrome extension, and the Platforms themselves. If any of them changes, breaks, or withdraws a feature, the Service may stop working in part or in whole until we adapt.

The numbers come from the Platforms. Each Platform defines its own metrics, revises recent figures, and sometimes reports wrongly. We label provisional numbers, carry each Platform's definition with every answer, and refuse to compute things the data cannot support (for example, adding unique listeners across platforms). We do not guarantee that any figure is accurate, complete, or final, and nothing the Service produces is financial, tax or investment advice.

Collection happens in your own browser, under your own logins, driven by your own Claude. That design puts certain things on you:

6. Licence to the Skills

We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Skills solely to collect Platform Data for Shows in your Workspace, through your own Claude. The Skills are our confidential and proprietary work, and each copy we serve is watermarked to your account.

You may not: share, publish, sell or otherwise distribute the Skills or any part of them; remove or alter the watermark; adapt them to collect data from accounts you are not authorised on; or use them to build a competing service. This licence ends when your account ends or when we revoke it for breach.

7. Your Content

You own Your Content. We claim no ownership of your Platform Data, your feed, or your notes.

You grant us a licence to host, store, copy, parse, and process Your Content, to derive metrics from it, and to generate answers, digests and reminders from it, for the purpose of providing the Service to you. That licence lasts as long as we hold Your Content under the Privacy Policy.

We may also use Your Content in aggregated and de-identified form, meaning combined with other customers' data so that neither you nor your show can be identified, to understand and improve the Service. We will never publish or sell anything that identifies you or your show without your permission.

If you send us ideas, suggestions or feedback, we may use them without obligation to you.

10. Fees

There are no fees today. If we introduce fees: prices will be stated before you commit; fees are payable in advance for the billing period and are non-refundable except where the law requires otherwise; applicable taxes are added; and we may change prices with at least 30 days' notice, taking effect at your next renewal.

11. Privacy and the question log

Our Privacy Policy explains what we collect and why. One thing bears repeating here because you agree to it when you click Approve: every call your Claude makes through the Connector is recorded in a question log, with file contents and secret-shaped values removed, and that log is visible to the members of your Workspace and to intelligence.fm staff.

The Service works with Anthropic's Claude, Google Chrome, the Platforms, and optionally your password manager. Each has its own terms and privacy policy, which you accept separately. We are not responsible for them, for changes they make, or for what they do with your data.

13. Intellectual property

The Service, including the Connector, the Skills, our metric definitions and caveat catalogue (the "Playbook"), our software, designs and documentation, and the intelligence.fm name and marks, are owned by HigherEdPods Inc. or our licensors and protected by copyright, trade-mark and other laws. Apart from the licences expressly granted in these Terms, we grant you no rights, and no rights are implied.

The Service is provided "as is" and "as available", during the beta and after it. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that any Platform figure is accurate, complete or final. You rely on the figures at your own judgement.

16. Limitation of liability

To the fullest extent permitted by law, HigherEdPods Inc., its directors, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to the Service or these Terms, even if we were advised of the possibility.

Our total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, and (b) CAD $100.

Some jurisdictions do not allow certain exclusions or limitations; in those places, the exclusions and limitations above apply only to the extent permitted.

17. Indemnity

You will defend and indemnify HigherEdPods Inc. against third-party claims, and the reasonable costs of them, arising from your breach of a Platform's terms, your collection from an account you were not authorised on, Your Content, or your breach of these Terms.

18. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of Alberta have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We will update these Terms as the Service grows. The effective date at the top shows the current version. For material changes we will email the address on your account at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new Terms; if you do not, disconnect and ask us to delete your account.
